Terms of Service

These Terms of Service (“Terms”) govern your use of the SmartNucleus AI website and services, operated by AI Valley (“we”, “us”, “our”), based in India. By using the website or the services, you agree to these Terms. If you use the services on behalf of a company, you represent that you are authorized to bind that company.

SmartNucleus AIprovides AI-powered product search and recommendation services for e-commerce stores. Onboarding is currently invite-based: we review each store's catalog for fit, connect the store, and tune the service before launch. Specific features, service levels, and pricing are agreed with each merchant during onboarding.

We may improve, add, or remove features over time. Where a change materially reduces the service a paying merchant receives, we will give reasonable advance notice.

• You retain all rights to your store's catalog and data, and you grant us the license needed to process it to provide the services.
• You are responsible for ensuring your store's own policies and disclosures to shoppers cover the analytics and personalization the services perform.
• You will not use the services for any unlawful purpose, or to sell goods that are illegal in your jurisdiction.

You may not attempt to reverse-engineer, resell, or benchmark the services for a competing product; probe or disrupt our infrastructure; or access another merchant's data. We may suspend access that threatens the integrity or security of the services.

The services, including our software, models, indexes we build, and this website's content, are owned by AI Valley. Your catalog, brand, and store data remain yours. Feedback you give us about the services may be used to improve them without obligation.

Pricing is tailored to each store's catalog size and traffic and is agreed in writing during onboarding. Unless agreed otherwise, fees are billed monthly and are non-refundable for periods already provided.

The services are provided “as is”. Search relevance and recommendation quality depend on catalog data quality and shopper behavior, and we do not guarantee specific conversion or revenue outcomes. To the maximum extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the maximum extent permitted by law, neither party is liable for indirect, incidental, or consequential damages, and our total aggregate liability arising out of the services is limited to the fees paid to us in the twelve months preceding the claim.

Merchants may stop using the services at any time by disconnecting their store and notifying us. We may terminate for material breach of these Terms that remains uncured after notice. On termination, we delete the merchant's catalog index and interaction data as described in our Privacy Policy.

These Terms are governed by the laws of India, and disputes are subject to the exclusive jurisdiction of the courts of India, unless a signed agreement with a merchant states otherwise.
